Governance & Policies
How we are run, and how we hold ourselves accountable
How we are governed
Members and the Annual General Meeting
The Foundation’s members hold general meetings, including an Annual General Meeting each financial year to receive reports and accounts.
The Board
Governance and oversight sit with a Board of directors. The Board sets strategy, approves plans and budgets, oversees management and risk, and ensures compliance. It meets at least quarterly. A majority of directors forms a quorum, each director has one vote, decisions are made by simple majority, and the Chairperson has no casting vote. The Board elects a Chairperson and Vice-Chairperson and appoints a Secretary and an Executive Director. Meet our board.
Management
The Executive Director runs day-to-day operations under written Board delegation. No officer can bind the Foundation beyond that authority.
Conflicts of interest
Directors must declare conflicts and withdraw from affected decisions. Related-party transactions need approval from unconflicted decision-makers.
Financial accountability
Funds are held in the Foundation’s own name, payments need at least two approvals, and no one approves their own claims. The Board keeps proper accounts and produces an annual report. Accounts are audited or examined as required, and we make the filings the law requires.
